Terms of service

The agreement between DeedLens and the company that uses it. Business accounts only.

1About these terms

These terms apply when a company uses DeedLens, the document review workspace for property deals in Nigeria. They form the agreement between DeedLens and the company that opens the account, called the customer here.

A person who accepts these terms for a company confirms that they have authority to bind it. Where a signed order form, pilot agreement or data processing agreement says something different, the signed document takes priority.

2Business accounts only

DeedLens sells only to registered businesses: agencies and brokerages, developers and estate companies, law firms, mortgage lenders and property managers. There is no consumer plan.

An account opens after a demo or pilot request and a check of the company's CAC registration. Firms on general email providers get a manual check. The customer's account owner decides who is invited and is responsible for the people it invites.

3What DeedLens does

DeedLens reads the documents the customer uploads, checks them against each other and against the rulebook for the state and deal type, and shows findings with page evidence, the rule that raised each one, the sources that rule relies on and a suggested next step.

Findings are a document review aid. They are not a legal opinion, not an official search and not a confirmation of title. The customer's own qualified professionals review each finding before the customer relies on it or shares a report. The disclaimer sets this out in full.

4The customer's responsibilities

The customer:

  • uploads only documents it has the right to process, with a lawful basis under the Nigeria Data Protection Act 2023 for the personal data in them;
  • keeps sign in details private and tells DeedLens promptly about any access it did not authorise;
  • has a lawyer review the findings before a report is shared with a client;
  • shares reports only under its own name, with the fixed notice in place, and never presents a report as a legal opinion from DeedLens;
  • follows the acceptable use policy; and
  • meets the duties of its own business, including those set by its regulators and professional bodies.

5Pilots

A pilot runs for 60 days under a signed pilot agreement, with no fee, five seats and 20 matters. The pilot agreement covers data processing and confidentiality and records the success criteria agreed at the start. At the end of a pilot the customer can move to a paid plan. If it does not, the workspace closes and its data is handled as the privacy notice describes.

6Plans, fees and payment

Paid plans are billed per company in Naira, monthly or annually, at the prices on the pricing page or in the customer's order form. Annual billing gets two months free. Matters beyond a plan's allowance are charged as extra matters.

Fees are invoiced in advance for each billing period and are payable as the invoice states. Prices exclude VAT and other taxes where they apply. DeedLens gives at least 30 days' notice of a price change, and the new price applies from the next billing period.

7Customer data and confidentiality

The customer owns its documents and the data DeedLens extracts from them. DeedLens processes them only to provide the service and on the customer's instructions, under the data processing agreement. DeedLens does not use customer documents to train models unless the customer gives a written opt in.

Each party keeps the other's confidential information confidential and uses it only for the purposes of this agreement.

8DeedLens's property

The software, the rulebook, the source library and the report design belong to DeedLens. The customer may use them through its account while its plan is active. Reports the customer generates may be shared with its own clients under its own name.

9Changes to the service

Laws, notices, fees and registry practice change, so DeedLens updates its rulebook. Rules are versioned, and each finding shows the rule version that raised it. DeedLens works to keep the service available and to fix faults promptly. Service levels apply only where an order form sets them.

10Suspension and ending the agreement

DeedLens may suspend access that breaches these terms or the acceptable use policy, or that puts the service or other customers at risk, and tells the customer why.

The customer may end a monthly plan at the end of any billing period by notice to DeedLens. An annual plan ends at the end of the paid year. Before an account closes, the customer can download its reports. After closure, DeedLens deletes customer files in line with the retention terms in the privacy notice.

11Liability

Nothing in these terms limits any liability that the law does not allow to be limited.

DeedLens is not liable for decisions the customer or its clients make about a transaction, for loss caused by documents that were incomplete or misleading when they were uploaded, or for indirect or consequential loss. DeedLens's total liability in any 12 month period is limited to the fees the customer paid in that period.

12Law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. The parties first try to settle any dispute by negotiation. A dispute that is not settled goes to the courts of the Federal Capital Territory, Abuja.

13Updates to these terms

DeedLens may update these terms. Account owners are told by email at least 30 days before a material change applies.
